AdsAgent / Terms of Service

Terms governing access to AdsAgent and connected advertising accounts.

These terms define how AdsAgent may be used, what responsibilities account owners retain, and how third-party API constraints affect the service across connected advertising platforms, including Meta, Google Ads, TikTok, and related workflows.

1. Acceptance of Terms

By accessing and using AdsAgent, you agree to be bound by these terms and to use the service only within the permissions and account authority you legitimately hold.

2. Description of Service

AdsAgent provides a multi-platform advertising operations layer for monitoring accounts, reviewing creative and account readiness, and — on platforms where mutation is enabled — executing intervention workflows across supported advertising platforms, including Meta, TikTok, and adjacent paid-media systems. The Google Ads integration is currently a read-only beta that provides reporting and MCP guidance only; it does not create, edit, or mutate Google Ads campaigns.

3. User Responsibilities

  • You must have legitimate authority to manage the Meta and Google Ads accounts you connect to AdsAgent.
  • You may not use AdsAgent to advertise illegal goods, scams, or content prohibited by applicable platform policies.
  • You remain responsible for activity initiated from your account, including intervention actions and campaign-management changes on platforms where AdsAgent provides mutation features (e.g. Meta). For Google Ads, the current beta is read-only — AdsAgent does not initiate intervention actions or campaign-management changes on Google Ads.
  • You may not use the service to access any ad account or page for which you do not have authorization from the owner.

4. API Usage and Limits

AdsAgent depends on third-party APIs, including Meta Platform services and Google Ads-related integrations. Access to those services is subject to their rate limits, platform terms, permissions, and availability.

Service interruptions caused by upstream API changes, outages, permission revocations, or policy shifts are outside AdsAgent control.

Data obtained through Google Ads-related APIs is intended to be used only for the benefit of the authorizing user and not for unrelated resale or secondary advertising purposes.

For Google Ads specifically, the current beta consumes Google Ads APIs in a read-only manner (account discovery, billing-setup status, and spend reporting) and exposes that data through the dashboard and a read-only MCP endpoint. No Google Ads mutation endpoints are called.

5. Disclaimer of Warranties

The service is provided on an “as is” and “as available” basis without guarantees of uninterrupted availability, specific performance outcomes, or uninterrupted third-party API access.

6. Termination

AdsAgent may suspend or terminate access if these terms are breached, if connected platform permissions are revoked, or if continued access creates policy or operational risk.

7. Subscription, Billing, and Refunds

Paid plans are billed through Stripe on a recurring basis (monthly or annual, depending on the plan you select) and renew automatically until canceled. Price changes take effect at the next billing cycle following at least thirty (30) days' notice by email or in-product. Failed payments enter a short grace period before the account is suspended.

Refunds and cancellations are governed by the Refund and Cancellation Policy (pro-rated within fourteen days of the initial charge for new subscriptions).

8. Acceptable Use

All use of AdsAgent is subject to the Acceptable Use Policy. Violations may result in immediate suspension or termination without refund and may be reported to the relevant advertising platform or to law enforcement where required.

9. Limitation of Liability

To the maximum extent permitted by law, adsagents LLC's aggregate liability arising out of or relating to AdsAgent will not exceed the fees you paid for the service in the twelve (12) months preceding the claim. adsagents LLC is not liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, ad spend, attribution differences, third-party platform suspensions, or data loss, even if advised of the possibility of such damages. Some jurisdictions do not allow the exclusion of certain warranties or limitations on liability, so portions of this section may not apply to you.

10. Indemnification

You agree to indemnify and hold harmless adsagents LLC and its officers, employees, and agents from any claim, loss, liability, or expense (including reasonable attorneys' fees) arising out of your use of the service, your content or creatives, your violation of any applicable law or third-party policy (including the policies of Meta, Google Ads, TikTok, or other connected advertising platforms), or your breach of these Terms or the Acceptable Use Policy.

11. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Wyoming, USA, without regard to its conflict-of-law principles. Any dispute arising out of or relating to these Terms or AdsAgent will first be addressed by good-faith informal discussion for at least thirty (30) days. If unresolved, the dispute will be settled by binding individual arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules, seated in Sheridan, Wyoming. You and adsagents LLC each waive the right to participate in a class action or class-wide arbitration. Either party may seek injunctive relief in court for actual or threatened infringement of intellectual property or unauthorized access.

12. Changes to These Terms

adsagents LLC may update these Terms as the service evolves. Material changes will be communicated by email to the address on file or by in-product notice at least thirty (30) days before they take effect. Continued use of AdsAgent after the effective date constitutes acceptance of the revised Terms. The "Last Updated" date at the top of this page reflects the most recent revision.
